InstaRefer Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the website, platform, and AI-powered call/chat answering services (collectively, the "Service") provided by SAAAZ, INC. (dba InstaRefer, "InstaRefer," "we," "us"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.

2. Description of Service

InstaRefer provides AI-powered phone and chat agents that answer calls and messages on behalf of local businesses ("Business Clients"), collect information from callers, look up information such as pricing or availability where integrated, and produce summaries and tickets for the Business Client.

The Service provides general information only. Nothing communicated by the AI agent constitutes a binding offer, quote, appointment guarantee, or contract unless and until confirmed by a human representative of the Business Client. This limitation is a core part of how the Service is designed and is not a mere disclaimer of convenience.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Business Client Responsibilities

If you are a Business Client using InstaRefer's Service:

  • You are responsible for the accuracy of the business information, pricing policies, and guardrails you provide during onboarding — the AI agent relies on what you tell it.
  • You are responsible for ensuring your own telephone systems (e.g. call forwarding configuration) are set up correctly.
  • You are responsible for compliance with laws applicable to your own business's use of AI-assisted calling, including but not limited to call recording consent laws and any AI-disclosure requirements in your jurisdiction, except to the extent InstaRefer has expressly agreed in a separate written agreement to implement specific disclosure language on your behalf.
  • You will not use the Service for any unlawful purpose, including discriminatory, deceptive, or harassing communications.

5. Acceptable Use

You will not: reverse-engineer the Service; use it to send unsolicited bulk communications; attempt to extract another Business Client's data; interfere with the Service's operation; or use the Service in a manner that violates applicable telecommunications, consumer protection, or privacy law.

6. Fees

Fees, if any, for the Service are as set out in a separate order form or service agreement between InstaRefer and the Business Client. During any beta, trial, or evaluation period, the Service is provided on the terms (including any usage limits) communicated at that time.

7. No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. InstaRefer does not warrant that the Service will be uninterrupted, error-free, or that AI-generated responses will always be accurate. The Service is explicitly designed so that AI-generated information is non-binding and subject to human confirmation for this reason.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSTAREFER'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY THE BUSINESS CLIENT TO INSTAREFER IN THE [TWELVE (12) MONTHS / TO BE SET] PRECEDING THE CLAIM. IN NO EVENT WILL INSTAREFER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify and hold InstaRefer, its parent company or other subsidiaries, harmless from claims arising out of: (a) your business information or instructions provided to the Service; (b) your failure to comply with applicable law in your own use of the Service, including recording-consent and AI-disclosure obligations not expressly assumed by InstaRefer in writing; or (c) your violation of these Terms.

10. Intellectual Property

InstaRefer retains all right, title, and interest in the Service, including its underlying technology, agent configurations framework, and software. Business Clients retain ownership of their own business information and the customer/lead data generated through their use of the Service, subject to InstaRefer's right to use aggregated, de-identified data to improve the Service.

11. Term and Termination

Either party may terminate use of the Service as set out in a separate service agreement, or, absent one, with [30] days' written notice. InstaRefer may suspend the Service immediately for suspected unlawful use or material breach of these Terms.

12. Changes to the Service or Terms

InstaRefer may modify the Service or these Terms from time to time. Material changes will be communicated to Business Clients in advance where reasonably practicable.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. [Consider whether to add an arbitration clause and venue selection — recommend counsel input here specifically, as enforceability varies by clause design.]
